These Terms of Service (“Terms”) govern your access to and use of websites operated by Foshan Blackbird Trading Co., Ltd., doing business as Blackbird Skincare (“Blackbird,” “we,” “us,” or “our”), including the content, inquiry forms, product catalogues, and other online features made available through those websites (collectively, the “Website”).
By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
1. Eligibility and Business Authority
The Website is intended primarily for business and professional users seeking skincare development, private-label, manufacturing, packaging, sourcing, or related services.
You represent that:
- You are legally capable of agreeing to these Terms.
- If you use the Website for a company or other organization, you are authorized to act on its behalf.
- Information you submit is accurate, current, and not misleading.
The Website is not directed to children.
2. Website Purpose
The Website provides general information about Blackbird, its capabilities, potential products, development approaches, and manufacturing services.
Website content is provided for informational and preliminary business-development purposes. It does not constitute:
- A binding offer, quotation, warranty, or commitment to manufacture or supply products.

3. Inquiries, Samples, and Quotations
Submitting an inquiry does not create a contract, agency relationship, partnership, exclusivity obligation, or obligation for Blackbird to accept a project.
Any initial estimate, minimum order quantity, timeline, formulation concept, sample description, or other Website or email communication is preliminary unless expressly incorporated into a written agreement signed or otherwise formally accepted by authorized representatives of the parties.
You are responsible for providing complete and accurate project information. Changes to specifications, quantities, packaging, target markets, testing requirements, or delivery terms may affect feasibility, price, and schedule.
4. Separate Commercial Agreements Control
Actual projects may require separate documents, including quotations, sample approvals, specifications, purchase orders, manufacturing agreements, confidentiality agreements, quality agreements, packaging approvals, invoices, and shipping documents.
Those project-specific documents govern matters such as:
- Formula and packaging specifications.
- Samples, approvals, testing, and change control.
- Pricing, payment, taxes, minimum order quantities, and cancellation.
- Production scheduling, lead times, inspection, acceptance, and remedies.
- Intellectual-property ownership and permitted use.
- Confidentiality and handling of proprietary information.
- Regulatory responsibilities, product claims, labeling, importation, and market authorization.
- Shipping, insurance, title, risk of loss, and delivery.
If these Terms conflict with a signed or formally accepted project-specific agreement, the project-specific agreement controls for that project.
5. Information and Materials You Submit
You retain ownership of information and materials you submit, subject to any separate agreement.
You grant Blackbird and its service providers a limited right to use, reproduce, translate, transmit, and internally share submitted materials as reasonably necessary to:
- Respond to your inquiry.
- Assess project feasibility.
- Prepare samples, quotations, proposals, or specifications.
- Provide requested services.
- Maintain security, records, and legal compliance.
You represent that you have the rights and permissions necessary to submit the materials and that our authorized use will not violate another party’s rights.
Unless a written confidentiality or non-disclosure agreement is already in effect, submitting information through the Website does not by itself create a confidentiality obligation. Do not submit trade secrets, confidential formulas, unreleased product information, or highly sensitive materials through a general Website form. Contact us to arrange an appropriate confidentiality agreement and secure submission method.
6. Blackbird Intellectual Property
The Website and its content—including text, graphics, logos, trademarks, photographs, videos, layouts, downloadable materials, and software—are owned by or licensed to Blackbird and are protected by applicable intellectual-property laws.
Subject to these Terms, Blackbird grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for legitimate internal business evaluation and communication with us.
No Website content may be copied, modified, republished, distributed, sold, scraped, framed, reverse engineered, or commercially exploited without prior written permission, except as permitted by applicable law.
“Blackbird,” “Blackbird Skincare,” associated logos, and related marks may not be used without prior written permission.
7. Acceptable Use
You must not:
- Use the Website unlawfully, fraudulently, or in a manner that infringes another party’s rights.

To the maximum extent permitted by applicable law:

- We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

13. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability arising solely from access to or use of the Website will not exceed the greater of:
- The amount you paid specifically for access to the Website during the twelve months before the event giving rise to the claim; or
- RMB 1,000.
This limitation does not govern liability under a separate project agreement and does not exclude liability that cannot lawfully be limited.
14. Indemnification
To the extent permitted by law, you agree to indemnify and hold Blackbird and its affiliates, directors, employees, and agents harmless from third-party claims, losses, and reasonable costs arising from:
- Materials you submit.
- Your unlawful or unauthorized use of the Website.
- Your infringement of another party’s rights.
- Your material breach of these Terms.
This section does not require indemnification for loss caused by Blackbird’s own fraud, willful misconduct, or liability that cannot lawfully be excluded.
15. Suspension and Termination
We may restrict or terminate access to the Website where reasonably necessary to protect the Website, users, Blackbird, or third parties; respond to security or legal concerns; or address a breach of these Terms.
Provisions that by their nature should survive termination will remain in effect, including intellectual-property, disclaimer, liability, indemnification, governing-law, and general provisions.
16. Governing Law and Disputes
These Terms and disputes arising solely from the Website are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles.
Subject to any mandatory rights under applicable law, the competent courts located in Foshan, Guangdong, China will have exclusive jurisdiction.
A separate project agreement may specify different governing law, jurisdiction, arbitration, or dispute-resolution procedures for that project.
17. Changes to These Terms
We may revise these Terms to reflect changes to the Website, our services, or applicable requirements. The revised Terms will be posted on this page with an updated effective date.
Your continued use of the Website after revised Terms become effective constitutes acceptance where permitted by law. Material changes will receive additional notice where legally required.
18. General Provisions
If a provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect.
Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a restructuring, merger, acquisition, or transfer of the Website or relevant business.
These Terms, together with the Privacy Policy and any notices expressly incorporated into them, form the entire agreement concerning general use of the Website. They do not replace project-specific agreements.
